2. Nature of the application
Submitting the Partner Up form constitutes a partner application, but does not mean automatic acceptance and does not create a contract, authority to represent BT Digital, exclusivity or entitlement to compensation.
3. Formation of a partnership
A partner, referral, subcontracting or joint-delivery relationship is only formed under a separate written agreement between the parties. That agreement defines tasks, responsibilities, compensation, settlement, confidentiality, intellectual property and termination.
4. Compensation and benefits
BT Digital does not promise a fixed commission or benefit on the public website. Possible arrangements include a fixed fee, success fee, project-based revenue allocation, a time-limited revenue share, or a service credit for existing clients. The exact entitlement and calculation are always set out in the individual agreement.
5. Conditions for commission
Unless otherwise agreed in writing, a commission becomes due only if: BT Digital has pre-approved the referral; the referred prospect was not already an active or known lead; the prospect has signed a contract with BT Digital; the prospect has actually paid the fee; the partner has fulfilled its contractual and invoicing obligations; and no disqualifying or conflict-of-interest reason applies.
6. No authority to represent
Without explicit written authorisation, a partner may not make offers, promise prices or discounts, sign contracts, assume obligations, give warranties, or use BT Digital's brand marks on BT Digital's behalf.
7. Lawful client acquisition
A partner may not use unsolicited electronic advertising, misleading communication, unauthorised data collection or other unfair methods. Third-party data may only be shared with the individual's knowledge and a valid legal basis.
8. Conflict of interest and prohibited benefits
No referral or compensation may be accepted that would unlawfully influence a decision-maker, employee, public official or other affected person, result in a hidden kickback, or breach internal policy. BT Digital may reject such an application or referral without giving reasons.
9. Invoicing and taxation
Partner compensation is paid only against a lawful settlement and appropriate accounting document. The partner is solely responsible for its own tax, invoicing, licensing and registration obligations.
10. Confidentiality and intellectual property
Confidential client, business or technical information may only be shared subject to an appropriate confidentiality obligation. BT Digital's name, logo, offers, documentation and development materials may not be used without written permission.
11. Suspension and termination
BT Digital may reject an application, suspend partner status, or terminate a separate agreement as set out in that agreement, in particular in case of legal infringement, misleading communication, a data protection incident, a conflict of interest, or reputational risk.
12. Relationship to the individual agreement
In the event of a discrepancy, the individual written agreement between the parties prevails. These website terms do not constitute a complete partner agreement or a binding offer.
13. Data processing
Processing of applications and partner relationships is governed by BT Digital's Privacy Notice, as in force from time to time.
